Senior Counsel – Navacord

Navacord is seeking a Senior Counsel who will thrive in a fast-paced environment to join our brokerage. This is a fantastic opportunity for an experienced legal counsel to have an impact and develop their career within a large and growing organization with operations across Canada. Senior Counsel will provide guidance, advice and representation on all corporate legal matters across the organization. Working collaboratively with Navacord senior management, Senior Counsel will be involved in all facets of the mergers & acquisitions process as well as drafting, interpreting and negotiating contracts and providing legal advice on business operations to manage risk and ensure compliance with various legal and regulatory requirements. Senior Counsel will also be responsible for overseeing Navacord’s corporate and operational licensing requirements to ensure compliance with Provincial legislation.

Career Scope:

  • Working with the Navacord team, manage multiple acquisitions simultaneously, including managing external counsel, drafting and negotiating primary transaction documents (offer letters, purchase agreements, loan agreements, etc.) assisting in due diligence and advising on risk and structuring
  • Provide legal support to the business including general contracts, HR and compliance
  • Work seamlessly with our outside counsel, tax accountants, finance, HR functions to provide practical, actionable advice as required
  • Respond to legal enquiries from legal representatives, regulatory agencies, etc.
  • Contribute to developing and maintaining Legal Team intellectual property, including template forms and other materials
  • Develop and maintain the organization’s policies/procedures on industry-specific issues, corporate governance or regulatory affairs to mitigate legal compliance risks
  • Responsible for building and maintaining the infrastructure to successfully manage Navacord’s corporate licensing across all Navacord Partners, this includes the business license, and other individual licenses required by regulatory agencies in all provinces
  • Identify potential legal risks and develop proactive strategies

You Must Have:

  • Law Degree (LLB) is a requirement; must be a member in good standing of the Law Society of Upper Canada
  • Minimum of 5-7 years experience from a leading law firm with a focus on mergers and acquisitions
  • A solid track record of performing successfully and producing results in a fast-paced, intellectually intense, client-oriented environment
