Manager, Legal

LOCATION: Primarily Downtown Toronto location (Commerce Court West).  Ability to work from home on limited basis available.

REPORTING TO: SVP, General Counsel

Other Key Relationships: Director, Legal; Corporate Law Clerk; CEO; Executive Chairman; Corporate Function Leaders (SVP HR; CFO; SVP Finance; SVP Benefits; Chief Growth Officer, Chief Operating Officer) and their DRs; Broker Partner leadership

As a member of the Navacord Corporate Legal team will support the company on a variety of day-to-day and transactional corporate/commercial matters (Navacord HQ and local broker partner) as well as on a variety of strategic initiatives.

 

Key Accountabilities:
M&A, Corporate Finance & Other Strategic Transactions:
  • Draft and negotiate transaction documents relating to, among other things, acquisitions, divestitures, financings, and other strategic arrangements, including, acquisition agreements, letters of intent, NDAs, closing documents, etc.
  • Conduct transaction legal due diligence, including, regulatory due diligence and support due diligence conducted on Navacord in connection with strategic initiatives
  • Work with local broker partner leadership and other functional support staff (corporate and local broker partner) on transactional activities
  • Oversee and/or perform all other legal tasks necessary to close M&A and other strategic transactions independently and at the direction of functional leadership
  • Support acquired broker partners on post-acquisition integration related matters, including those relating to licensing and corporate entity maintenance
  • Oversee and provide guidance to outside counsel, as needed, in support of the above
Human Resources:
  • Support Navacord HQ HR staff in developing and implementing strategic HR initiatives and policies, procedures, and protocols
  • Work with broker partner leaders and other functional support staff (Navacord HQ and broker partner) to manage/address HR issues that arise, including, in the context of employee recruitment and employee departures
  • Support Navacord HQ in the development of employment agreement templates and in the negotiation of agreements in connection with employee recruitment / onboarding, including, through acquisition
  • Support Corporate Law clerk on legal aspects of share issuances under Navacord’s option and share purchase plans and on buybacks of shares in connection with employee departures
  • Support Navacord HQ HR staff on employment related compliance matters
Corporate / Commercial / Finance: 
  • Draft, interpret and negotiate contracts of all varieties, including procurement related contracts and other legal documents
  • Work with broker partner leaders and other functional support staff (Navacord HQ and local broker partner) to solve legal issues related to operations, including IT matters
  • Provide support on credit facility and other financing related compliance matters
  • Oversee and provide guidance to outside counsel, as needed, in support of the above
Regulatory:
  • Provide advice to relevant stakeholders on industry-related issues and regulations across all Canadian jurisdictions and support local broker partners on licensing and related compliance matters
  • Handle matters relating to privacy and other legal compliance areas, as required
Other:
  • Support broker partner leaders and other functional support staff (Navacord HQ and local broker partner) on litigation and other dispute resolution matters and oversee external legal resources relating to same
  • Working with Finance and HR resources (Navacord HQ and broker partner) and internal broker support the annual errors and omissions insurance placement process
Qualifications:
  • >7 post-call years of experience handling a wide variety of legal matters required, with M&A, employment, and insurance/financial services industry experience, as well as experience working in the corporate HQ of a growth oriented entrepreneurial enterprise, preferred and beneficial.
  • Member in good standing of the Law Society of Ontario
  • Strong interpersonal, verbal, and written communication skills
  • Ability to work within tight deadlines, interface effectively with a broad array of internal client groups, functional support resources (corporate and local broker partner), external counsel, regulators, and suppliers
  • Strong organizational, and drafting skills, including a rapid, problem-solving mindset
  • Ability to work independently, as well as in team situations, while multi-tasking in diverse legal
